Legal Counsel

Responsibilities

Providing full legal support to the SP Group Companies in Thailand, in respect of a broad spectrum of matters, including but not limited to rendering of legal advice, handling of due diligence and handling of agreements (including developing robust templates) in respect of the following types of activities in Thailand:

• Rooftop solar solutions, including PPAs, EPC and O&M contracts
• District cooling services and heating services
• Development of electric and electric vehicle charging infrastructure, and microgrids
• Sustainable energy solutions
• Utility-scale solar and wind projects
• M&A and joint-ventures
• Procurement contracts and tenders
• Foreign investment in connection with the above

Reviewing, advising on, negotiating and drafting letters of intent, non-binding offers, confidentiality agreements, MOUs and other transaction documents for various projects. Handling claims, investigations, disputes and related litigious matters. Handling general corporate and commercial matters such as loan agreements, lease agreements and employment matters. Establishing and managing relationships with external legal firms. Advising the SP Group and implementing solutions concerning corporate/project structure, transactions, agreements and compliance in the normal course of the business in Thailand. Working closely with the SP legal team in Singapore. Oversight of legal and compliance (including regulatory) risks across its functions and business divisions. Updating on new regulations and alerting impacted divisions/functions.

Qualifications

• Degree in Law from a recognised university
• 5-8 years post-qualification experience in practice and/or in-house in Thailand
• Possess excellent legal analytical skills, drafting and negotiation skills
• Commercial minded, strong business acumen to understand business goals and strategy
• Excellent communication, stakeholder management and relationship building skills
• Good initiative, able to drive projects and possess a strong sense of accountability
• Experienced in the renewable energy or infrastructure industry and/or advising on strategic and complex legal matters
• Strong experience in negotiating, drafting and executing commercial contracts
• Independent and able to work with minimal supervision
• Ability to work under pressure and tight timelines
• Good problem solver
• Good attention to detail
• Strong negotiation and organisational skills
• Strong verbal and written communication skills in English and Thai
• A good team player
