Jr Legal Counsel cum Company Secretary

Your role

We are looking for a Legal Counsel cum Company Secretary (licensed lawyer or paralegal in Thailand) with experience in corporate law, governance, and company secretarial matters.

Main Responsibilities:

• BOD Policies & Compliance - implementation of Legal & Compliance policies and procedures of the above indicated companies, for its subsidiaries and branches, such as data privacy, ABC and AML, Know your Customer, compliance checks, Conflict of Interest policies and procedures etc., assist the Asia Compliance Director – e.g. provide training sessions to local employees on Compliance and Legal themes and policies, assist audit and HR teams and other with investigations, the latter when required;
• BOD Systems and Reports - insert corporate and contracts documents into legal files and systems (electronic and physical) required by the above indicated companies, as well as provide the monthly litigation and other reports required and related provisions;
• Corporate Governance & Compliance - advising directors on duties, ensuring compliance with company law (e.g., MOT ), and maintaining statutory registers;
• Board Support - organizing Board and Annual General Meetings (AGMs), setting agendas, and recording accurate minutes;
• Regulatory Liaison - acting as the primary point of contact for shareholders and regulatory authorities alongside head of Legal;
• Document Management - maintaining the company’s constitution, corporate records, and handling share transfers; and
• Administrative Oversight- managing the company seal and executing shareholders / board resolutions.

Main Requirements:

• Bachelor’s Degree in Law (LLB)
• Qualified lawyer in Thailand with valid Bar Association registration is preferred
• Company Secretary certification (or relevant experience supporting PLCs) is an advantage
• At least 5 years of experience in corporate and commercial law
• Exposure to company secretarial work, corporate governance, and statutory compliance
• Experience supporting Board of Directors (BOD), shareholder matters, AGM/EGM preparation is an advantage
• Background in joint ventures (JVs) or multinational environments is preferred but not mandatory
• Experience in contract drafting and review (commercial/service agreements)
• Knowledge of Thai corporate and commercial laws
• Clear and professional communication skills (both Thai and English, including legal terminology)
